These are the Terms and Conditions governing the use of this Service and the purchase of Products from Us, and they form the agreement between You and the Company.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users, and customers who access or use the Service or place an Order.
By accessing or using the Service, or by placing an Order, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions, You may not access the Service or place an Order.
You represent that You are over the age of 18. The Company does not permit those under 18 to use the Service.
Your access to and use of the Service is also subject to Our Privacy Policy, which describes how We collect, use, and disclose personal information. Please read Our Privacy Policy carefully before using Our Service.
Terms of Sale
The following terms apply to Orders for Products. Where a signed agreement, quote, or sales order between You and Us states different terms, those terms control for that Order.
Orders and Acceptance
Quotes are valid for thirty (30) days unless otherwise stated, and are subject to product availability and supplier pricing at the time an Order is placed. An Order is accepted when We confirm it in writing. If Your purchase order contains terms that conflict with these Terms, these Terms control unless We agree otherwise in writing.
Artwork, Trademarks, and Intellectual Property
This section is important. Please read it carefully.
Your warranty. You represent and warrant that You own, or have obtained all necessary licenses, permissions, and rights to use and to authorize Us to reproduce, all Artwork You submit to Us or direct Us to use. This includes any trademark, service mark, logo, copyrighted work, photograph, artwork, name, likeness, or other protected content.
Your indemnity. You agree to defend, indemnify, and hold harmless the Company, its owners, employees, suppliers, decorators, and print partners from and against any claim, demand, suit, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to any allegation that Artwork You supplied, or Products produced from it, infringes or misappropriates the intellectual property, publicity, or other rights of any third party.
Our right to decline. We may decline or halt any Order, at any time and at Our sole discretion, where We believe the Artwork may infringe a third party's rights, or where We believe the Artwork or the intended use is unlawful, deceptive, or otherwise inappropriate. If We halt an Order for this reason, You remain responsible for costs already incurred.
Ownership. You retain ownership of Your Artwork. We retain ownership of any production files, separations, screens, dies, digitizing, and setup work We create, and of Our own designs, templates, and presentation materials.
Portfolio use. We may photograph finished Products and use those images to show examples of Our work, unless You tell Us in writing not to. We will not disclose confidential pricing or program details in doing so.
Proofs and Approval
We provide a Proof for Your approval before production begins on decorated Products. Production does not begin until We receive Your written approval of the Proof.
It is Your responsibility to review each Proof carefully, including spelling, wording, names, dates, phone numbers, artwork placement, imprint size, and color callouts. Once You approve a Proof, You accept responsibility for its content, and We are not responsible for errors it contains. Corrections requested after approval may require a new Order and additional charges.
Changes requested after Proof approval or after production has begun may result in additional charges, delays, or both.
Quantities, Colors, and Product Variation
Overruns and underruns. Industry standard on most decorated Products is plus or minus five percent (+/- 5%) of the quantity ordered. You will be invoiced for the actual quantity shipped. If You require an exact quantity, tell Us in writing before the Order is placed so We can price accordingly.
Color matching. We will match specified colors as closely as the product substrate and decoration method allow. Exact Pantone or color matching cannot be guaranteed across different materials, decoration methods, or production lots. Minor variation in shade or finish is normal and is not considered a defect.
Product variation. Product colors shown on the Website, in catalogs, or in virtual proofs are representations and may differ from the physical product. Sizing, fabric weight, and finish may vary by manufacturer and production lot.
Pricing, Payment, and Taxes
Prices are quoted in U.S. dollars and are subject to change if quantities, specifications, decoration, or supplier pricing change. Unless otherwise stated on the applicable quote or invoice, payment terms are as set out on that document, and a deposit may be required before production begins.
Past due balances may accrue a late charge of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is less. You are responsible for all applicable sales, use, and excise taxes unless You provide valid exemption documentation.
Shipping, Delivery, and Risk of Loss
Unless otherwise agreed in writing, Products ship F.O.B. shipping point. Title and risk of loss pass to You when the Products are delivered to the carrier.
Delivery and in-hands dates are estimates made in good faith based on supplier and carrier information. They are not guaranteed. We are not liable for delays caused by carriers, suppliers, decorators, customs, weather, or other circumstances beyond Our reasonable control. Where an in-hands date is critical, tell Us in writing and We will advise on rush production and expedited freight options and their cost.
Cancellations, Changes, and Returns
Cancellation. You may request cancellation of an Order in writing. Once Artwork has been approved and production has begun, custom-decorated Orders cannot be canceled. If an Order is canceled before that point, You remain responsible for costs already incurred, including but not limited to art and setup charges, goods purchased, and any supplier cancellation fees.
Claims. Inspect all shipments on receipt. Claims for shortages, defects, or material deviation from the approved Proof must be made in writing within ten (10) business days of receipt, and We may request photographs or the return of samples. Claims made after that period may not be honored.
Returns. Custom-decorated Products cannot be returned except where the Products are materially defective or materially deviate from the approved Proof. In those cases We will, at Our option, replace the Products, rerun the affected quantity, or issue a credit. Blank, undecorated goods may be returnable subject to supplier approval and a restocking fee, plus return freight.
Warranty on Products
Products are manufactured by third-party suppliers. We pass through to You any manufacturer's warranty available to Us, to the extent transferable. Except as expressly stated in these Terms, We make no warranty of any kind regarding the Products.
Links to Other Websites
Our Service may contain links to third-party websites or services, including supplier catalogs and product pages, that are not owned or controlled by the Company.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.
We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.
Termination
We may terminate or suspend Your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.
Upon termination, Your right to use the Service will cease immediately. Termination does not affect any Order already in production or any amount already owed.
Limitation of Liability
To the maximum extent permitted by applicable law, the entire liability of the Company and its suppliers under any provision of these Terms, and Your exclusive remedy, shall be limited to the amount You actually paid to Us for the specific Order giving rise to the claim. Where the claim does not relate to an Order, that liability shall be limited to one hundred U.S. dollars (USD 100).
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever, including but not limited to damages for loss of profits, loss of revenue, loss of data or other information, business interruption, missed events or deadlines, or the cost of substitute goods, arising out of or in any way related to the Products, the Service, or these Terms, even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In those states, each party's liability will be limited to the greatest extent permitted by law.
"AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice.
Without limiting the foregoing, the Company makes no representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included on it; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. In such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.
Force Majeure
We are not liable for any failure or delay in performance caused by circumstances beyond Our reasonable control, including but not limited to acts of God, fire, flood, severe weather, epidemic, war, civil unrest, labor disputes, supplier or carrier failure, material shortages, utility or network outages, or governmental action.
Governing Law
The laws of the State of Utah, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service and purchase of Products. You agree that the state and federal courts located in the State of Utah shall have exclusive jurisdiction and venue over any dispute arising out of these Terms. Your use of the Service may also be subject to other local, state, national, or international laws.
Disputes Resolution
If You have any concern or dispute about the Service or an Order, You agree to first try to resolve the dispute informally by contacting the Company.
United States Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to a United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
Severability and Waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.
Changes to These Terms and Conditions
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion. Orders already accepted are governed by the Terms in effect when the Order was accepted.
By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Service.
